Terms of Service

1. Definitions

• "Platform" refers to the LeadFunnel web application, website, APIs, and all related services provided at leadfunnel.in and app.leadfunnel.in.
• "User" means any individual who accesses or uses the Platform, regardless of their role or subscription status.
• "Company Account" refers to the organizational workspace created on the Platform, representing a single tenant within our multi-tenant architecture.
• "Company Admin" is the primary administrator of a Company Account who manages settings, team members, pipelines, and billing for their organization.
• "Team Member" is a user invited to a Company Account by a Company Admin, with permissions limited to their assigned leads, tasks, and workspace.
• "Content" means any data, text, files, documents, images, leads, invoices, quotes, or other materials uploaded, created, or stored on the Platform by Users.

2. Account Registration

• You must provide accurate, complete, and current information during the registration process and keep your account details up to date at all times.
• You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.
• You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Platform.
• Each user must maintain only one account. Creating multiple accounts for the same individual is prohibited and may result in suspension of all associated accounts.
• You agree to notify LeadFunnel immediately at connect@leadfunnel.in if you suspect any unauthorized access to or use of your account.

3. Acceptable Use

By using the Platform, you agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
• Upload, transmit, or distribute any viruses, malware, spyware, or other harmful or malicious code through the Platform.
• Attempt to gain unauthorized access to the Platform, other user accounts, or any systems or networks connected to the Platform.
• Scrape, crawl, or use automated means to collect data from the Platform without prior written consent from LeadFunnel.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity, performance, or availability of the Platform or its underlying infrastructure.
• Send unsolicited bulk messages, spam, or phishing communications using the Platform's messaging or integration features.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any of its components.

4. User Content

• You retain full ownership of all Content you upload, create, or store on the Platform. LeadFunnel does not claim ownership over your data.
• By using the Platform, you grant LeadFunnel a limited, non-exclusive license to host, store, process, and display your Content solely for the purpose of providing and improving the Service.
• You are solely responsible for the accuracy, legality, and appropriateness of all Content you submit. LeadFunnel is not responsible for reviewing or validating User Content.
• LeadFunnel reserves the right to remove any Content that violates these Terms or is deemed harmful, without prior notice, though we are under no obligation to monitor Content proactively.

5. Company Accounts & Multi-Tenancy

• Each Company Account operates as an isolated tenant. Data belonging to one Company Account is not accessible by other tenants under any circumstances.
• The Company Admin is responsible for managing user access, permissions, and data within their Company Account. LeadFunnel is not liable for actions taken by authorized users within a tenant.
• Company Admins may invite Team Members and assign roles with specific permissions. It is the Company Admin's responsibility to ensure that access levels are appropriately configured.
• When a Company Admin removes a Team Member from their account, the Team Member's access is immediately revoked. Any leads, invoices, or data created by the Team Member remain within the Company Account.

6. Subscription & Payments

• LeadFunnel offers both free and paid subscription plans. Features, limits, and pricing for each plan are detailed on our pricing page and may be updated from time to time.
• All fees are quoted and charged in Indian Rupees (INR). Applicable taxes, including GST, will be added to your invoice as required by law.
• Paid subscriptions are billed on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing cycle unless cancelled before the renewal date.
• Payments are processed through secure third-party payment gateways. LeadFunnel does not store your credit card or banking details directly on our servers.
• If a payment fails, we will attempt to notify you and may retry the charge. If payment remains unsuccessful after a reasonable grace period, your account may be downgraded to the free plan or suspended.
• Refunds are handled in accordance with our Return & Refund Policy. Partial-month or partial-year refunds are generally not provided for subscription cancellations.

7. Free Trial

• LeadFunnel may offer a free trial period for new users to explore the Platform's features. The duration and scope of the free trial will be communicated at the time of sign-up.
• At the end of the free trial, you may choose to subscribe to a paid plan to continue using premium features. If no subscription is selected, your account will revert to the free plan with limited functionality.
• LeadFunnel reserves the right to modify, limit, or discontinue free trial offers at any time without prior notice.

8. Service Availability

• LeadFunnel strives to maintain a 99.9% uptime for the Platform. However, we do not guarantee uninterrupted or error-free access at all times.
• Scheduled maintenance windows will be communicated in advance whenever possible. Emergency maintenance may be performed without prior notice to protect the integrity of the Platform.
• LeadFunnel shall not be held liable for any downtime, data loss, or service interruption caused by factors beyond our reasonable control, including but not limited to natural disasters, power outages, network failures, or third-party service disruptions.

9. Data & Privacy

• Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information.
• LeadFunnel employs industry-standard security measures to protect your data, including encryption in transit and at rest. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.
• You may request export or deletion of your data at any time by contacting us at connect@leadfunnel.in. Data deletion requests will be processed within 30 days, subject to legal retention requirements.
• LeadFunnel does not sell, rent, or share your personal data with third parties for their marketing purposes. Data sharing with third-party service providers is limited to what is necessary to operate the Platform, as outlined in our Privacy Policy.

10. Intellectual Property

• The Platform, including its design, code, features, logos, trademarks, and all associated intellectual property, is owned by LeadFunnel and is protected under applicable intellectual property laws.
• Your use of the Platform does not grant you any ownership rights in the Platform's intellectual property. You are granted only a limited, revocable, non-transferable license to use the Platform in accordance with these Terms.
• If you believe any content on the Platform infringes your intellectual property rights, please contact us at connect@leadfunnel.in with details of the alleged infringement, and we will investigate and respond promptly.

11. Termination

• You may terminate your account at any time by contacting us at connect@leadfunnel.in or through the account settings within the Platform.
• LeadFunnel reserves the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or engaged in fraudulent or harmful activity.
• Upon termination, your right to access the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes such as fraud prevention.
• You may request a data export before account termination. After termination, your data will be permanently deleted within 90 days unless a longer retention period is required by applicable law.
• Termination of your account does not relieve you of any outstanding payment obligations. All fees incurred prior to termination remain due and payable.

12. Limitation of Liability

• The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• LeadFunnel does not warrant that the Platform will meet your specific requirements, operate without interruption, or be free from errors, bugs, or security vulnerabilities.
• In no event shall LeadFunnel, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Platform.
• To the maximum extent permitted by applicable law, LeadFunnel's total aggregate liability for all claims arising from or related to these Terms or the Platform shall not exceed the amount you have paid to LeadFunnel in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless LeadFunnel, its officers, directors, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Platform, your violation of these Terms, your Content, or your infringement of any third-party rights. This indemnification obligation shall survive the termination of your account and these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in India. You agree to submit to the personal jurisdiction of such courts and waive any objection to the venue or convenience of the forum.

15. Changes to Terms

LeadFunnel reserves the right to modify or update these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, may notify you via email or through a prominent notice on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.
